Contracts Manager

CONTRACTS MANAGER

JOB DESCRIPTION

General Summary
The Contract Director/Manager is responsible for managing all contract activity within 4Wall and contracting activities for customers and vendors.   This role will oversee the development and review of contracts, build and maintain a contract management system, consult with outside legal counsel as needed, and 
drive consistency in contracting throughout the organization.

Responsibilities of Position: Duties include but are not limited to:

Organizational Responsibilities

  • Interact with Finance, Sales, Operations, IT, Compliance, Marketing, Executive Leadership, and other business functions on all of their contract needs.
  • Act as primary corporate contact for review of all contracts to ensure they conform to legal requirements based on Company policy, federal, state, or local regulations.
  • Organize and maintain all contracts across the organization.

Personal Responsibilities

  • Collaborate with business functions to draft and/or review a wide variety of customer and vendor contracts
  • Analyze and interpret complex provisions in customer contracts and liaise with business partners as needed.
  • Review and redline contracts, amendments, and various other legal documents
  • Prepare analysis to identify key terms in the contracts, comparisons to our standard agreements and recommend strategy to business as needed
  • Manage all phases of a contract management system, including filing, updating, and maintaining storage backup systems.
  • Coordinate activities, including subpoena requests.
  • Develop and prepare regular reports on the status of contracts.
  • Create processes to streamline processes for scalability
  • Develop and maintain templates, standard operating procedures for contracting processes and track associated metrics
  • Support the continuous improvement of standard form agreements and processes impacting the company
  • Other duties as assigned.

Key Requirements

  • BS/BA in related discipline or significant experience in contract management roles.
  • 5+ years in contract drafting and management or paralegal/legal operations management required.
  • Understanding of basic contractual concepts including limitation of liability, indemnification, and other commercial terms/conditions.
  • Experience establishing process improvements across multiple functions to meet compliance and company requirements.
  • Strong contract drafting and analytical skills
  • Excellent verbal / written communication skills
  • Experience with contract management systems
  • High level of computer proficiency, specifically MS software programs (i.e., SharePoint, MS Word, Excel, Teams)
  • Demonstrated strong organizational skills
  • Work with a sense of urgency and accountability
  • Possesses a strong sense of integrity.
  • Ability to function independently and in a self-directed manner, while at the same time within a highly cooperative team environment

Additional Desired Qualifications for Director Level Consideration

  • 10+ year of experience in a contract drafting and management or paralegal/legal operations management required.
  • Prior experience or involvement in establishing a contracts management platform to organize and access contracts across an organization.
  • Experience/exposure to M&A due diligence processes.
  • Experience as a practicing attorney or extensive paralegal experience.

Physical Requirements

The job duties and tasks of this position require the employee to regularly sit. The employee may choose to stand and move within their working area. Regular use of computer monitors and a keyboard/mouse will be required. The employee must occasionally lift and/or move up to 2 pounds. Other physical requirements of the job include the ability to communicate. Generally, the employee will be in a temperature controlled work environment set for general comfort.

Availability

  • Must be available to work in the evenings and weekends, as required.
